MAIN PURPOSE OF THE JOB
To lead and establish appropriate Commercial and Enterprise risk management principles within the organisation by developing implementing and maintaining risk management policies, standards and processes in line with the strategic objectives of the corporate plan of Land Bank Group. The incumbent is responsible for setting the approach in Identifying, Assessing, Managing and Reporting in respect of the Enterprise-Wide Risk Framework. Oversight of subsidiary companies.
Key Performance Areas
1. Design, Developing, Driving and Integrating the Enterprise-wide Risk Management framework within Land Bank Group
• Design, develop, implement and integration of an Enterprise –Wide Risk Framework(ERMF)
• Drive and integrate the ERMF
• Create risk awareness within the organisation to entrench a formal risk management approach:
• Ensure the development and updating of an Enterprise-wide Risk Management Framework (ERMF) and implement and Enterprise-Risk wide implementation plan incorporating it into business unit strategies and performance contracts

2. Ensure statutory and regulatory compliance
• Establish a compliance framework
• Recommend and obtain approval of compliance policy
• manage the implementation of statutory and regulatory requirements
• monitor compliance with all applicable legislation
• report to internal stakeholders
• accurate and timely statutory reporting to external stakeholders
• Design, Develop and implement Ethics Policy
• draft the ethics policy

3. Identify, Assess and Manage and report relevant risks in respect of the Enterprise Risk Framework.
• Monitor breaches to risk appetite and recommend to Board Risk Appetite considerations
• Recommend risk appetite in accordance with Enterprise Risk Management Framework (ERMF) and Land Bank Strategy
• revise limits throughout the Land Bank
• publish risk appetite report
• present the report to the Board for approval

4. Manage stakeholder relationships (Exco / Board / Board sub committees / National Treasury / Operational Risk and Process Risk Committee chair, including but not limited to these committees)
• Identify the relevant role players in accordance with business requirements and dependencies:

5. Oversight, Monitoring and evaluating and Identification of key risks for the organisation – ERM
• Develop appropriate monitoring and evaluation systems
• Monitor and evaluate adherence to policies and procedures
• Monitor and evaluate provisions (impairments)
• Monitor and evaluate concentration, sector and portfolio risks related to credit granting
• Provide an independent evaluation of treasury compliance with approved limits
• Monitor market and interest rate risk in terms of Treasury exposure
• Monitor the borrowing plan of treasury
• Monitor annually the counterparty exposure within Treasury
• Monitor settlements of trade on a weekly basis
• Monitor the evaluation, management of credit risk in the Bank
• Monitor credit risk exposures (Board Risk and Governance Committee (RCG))

Key Performance Areas
1. Perform and control all Internal and Ad-hoc Committee secretarial and administration processes
Supporting the Group Company Secretary which includes:
• Assisting with the preparation of board skills matrices.
• Ensuring that board and board committee submissions are relevant, accurate and complete before they are circulated to the Board and Board Committee members for use in monitoring, review and decision-making activities.
• Ensuring that board and board committee materials reach board and board committee members timeously so that members are     able to consider them, are able to engage and contribute constructively to deliberations on the matters to which they relate; and are able to make informed decisions.
• Ensuring that appropriate arrangements have been made for all board and board committee meetings and workshops, i.e. notices of meetings and workshops are accurate and timely; adequate arrangements have been made for among others the travelling and accommodation needs of board, board committee members and board and board committee invitees; venues have been adequately fitted and provisioned; satisfactory teleconferencing facilities are in place where required; meetings and workshops are properly constituted and run; and there is timely payment of the fees and expenses of board members, board committee members and invitees.
• Taking, writing-up and maintaining minutes of Board and Board Committees.
• Assisting with ensuring compliance with the Land Bank Act, the Companies Act, the Memoranda of Incorporation of the subsidiary companies, the PFMA, JSE Listings Requirements, the applicable principles and practices of the King Report on Corporate Governance for South Africa (2016) and all other applicable legislation, regulation and best practice.
• Assist in ensuring that institutional memory is preserved and compliant statutory records are maintained.
• Liaising with internal and external stakeholders as delegated by the company secretary.
• Managing all CIPC processes including the filing of all statutory returns.
• Assist in ensuring that the board takes responsibility for risk management and internal control
• Preparing an annual business plan and budget for the areas of responsibility of the assistant company secretary; monitoring and reporting on the execution of the approved plan; and monitoring and reporting on spending ensuring that it is per approved budget.
• Having a personal understanding of the role and responsibility of the assistant company secretary in respect of risk management and ensuring that the risks within the area of responsibility of assistant company secretary are effectively managed.
• Managing subordinates in terms of the law, best practice and Land Bank Group Human Capital Management Policies and Procedures.

2. Facilitate Internal and Ad-hoc Committee Governance and all related processes
• Keep informed on each Committee structure, membership, terms of reference and interdependencies between various committees
• Review and update terms of reference in collaboration with the Governance and Compliance Officer
• Participate in the induction of committee members in the understanding of the scope of performance within the prescribed mandate to ensure a well-balanced and fully functional committee
• Guide Committee members with regards to duties, responsibilities and powers

3. Build and maintain stakeholder relations and effectively communicate all Governance and Compliance matters
• Build and maintain effective relations with the chair and the committee members to ensure efficient and effective communication between all parties and awareness of corporate governance and compliance requirements and good corporate governance practice.

• Analyse technology environment and enterprise specifics, i.e. review and evaluate the current state of Land Bank’s architecture (‘as-is) in order to identify duplications, what is working, what is not working and measure the health of key business processes that are supported by the current architecture.
• Manage the solution engineering in relation to the business specific problems by providing specifications according to which the solution is defined, managed and delivered.
• Ensure enterprise architecture and system interface reviews are done periodically to evaluate and address adherence to technology standards.
• Develop and maintain the future state (‘to-be’) architecture including system interface for Land Bank and ensure that there is a supporting architecture roadmap.
